Terms of Service
These Terms of Service (“Terms”) govern the use of the Google Sheets–native pricing optimization add-on “MenuGauge AI” (the “Service”) provided by MenuGauge (“MenuGauge”, “we”, “us”, or “our”). By using the Service, you (“User”) agree to be bound by these Terms.
1. Company Information

2. Definitions
- “Service”: A set of pricing optimization features running on Google Sheets and Google Apps Script.
- “Add-on”: The execution vehicle of the Service (including menus, sidebars, dialogs).
- “License”: The right to use the Service granted per email address (1 email = 1 license).
- “Paid Plans”: Monthly subscription plans (e.g., Plus / Pro / Enterprise) defined by us.
- “Event Logs”: Lightweight operational records within the Service (e.g., open / insert / run_report / settings_saved).
3. Nature and Scope of the Service
- The Service provides advisory features to support decision-making (e.g., cost calculation, gross margin, recommended price).
- We do not guarantee the accuracy, completeness, or suitability of outputs. Final pricing and operations remain your responsibility.
- The Service operates with minimal Google Sheets scopes (Spreadsheets/UI). We do not store card data; payments are processed by Stripe. See our Privacy Policy for details.
- The Service is designed as no-code / Sheets-native; deep integrations (e.g., advanced accounting/inventory) are not included unless later added.
4. Accounts and Licenses
- One license per email. Assignment, sharing across different emails, lending, or reselling is prohibited (including within the same organization).
- Plan limits (e.g., number of locations/recipes) apply as defined for each Paid Plan.
- Verification may match the Stripe billing email with the Licenses sheet to unlock plan limits.
- If abuse or breach is suspected, we may suspend, restrict, or terminate without prior notice.
5. Fees, Billing, Renewal, and Cancellation
- Subscriptions are billed monthly in advance via Stripe (billing descriptor: MENUGAUGE).
- Exchange differences, fees, and taxes (e.g., VAT, sales tax) are your responsibility.
- Auto-renewal: Subscriptions renew monthly unless canceled before the next billing date.
- Cancellation: You may cancel anytime; the cancellation takes effect in the next billing cycle. No prorated or partial refunds for the current period.
- Refunds: We may consider case-by-case refunds (e.g., duplicate charges, fraud, material technical defects reported within a reasonable initial period). Contact us via the contact form or support@menugauge.com.
- In case of non-payment or repeated payment failures, we may suspend the license or downgrade the plan.
6. Prohibited Conduct
Users must not engage in the following:
- License sharing across multiple people/emails in violation of these Terms, or reselling/redistribution.
- Reverse engineering, decompilation, or creation of derivative works based on the Service.
- Unauthorized access, impersonation, intrusion, or disruption of systems or networks.
- Violations of laws or third-party rights (IP, privacy, reputation), or uses against public order and morals.
- Disproportionate load, scraping, and automated access for competitive analysis.
- Acts that materially harm the Service’s trust or operations, or non-compliance with our instructions.
7. IP and Feedback
- All intellectual property in and to the Service is owned by us or our licensors.
- Feedback and suggestions you provide may be used by us on a royalty-free, non-exclusive, sublicensable basis.
8. MVP/Beta Disclaimer
- The Service may include beta-stage features. Specifications, UI, and algorithms may change without notice.
- Beta features are provided “as is” without any warranties, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Disclaimer and Limitation of Liability
- We are not liable for losses arising from:
- Use or inability to use the Service, data loss/corruption, lost profits or opportunities
- Outages or changes of third-party services (e.g., Google, Stripe)
- Your configuration errors, operational mistakes, or input errors
- Notwithstanding the foregoing, for direct and actual damages caused by our willful misconduct or gross negligence, our aggregate liability is limited to the total fees you paid to us in the one (1) month preceding the event giving rise to the claim.
- In no event shall we be liable for special, indirect, consequential, or incidental damages, or lost profits.
- If mandatory law limits the above, such limitations apply to the maximum extent permitted.
10. Data, Privacy, and Permissions
- We do not store payment card data; Stripe processes payments.
- The Service runs with minimal Sheets/UI scopes.
- Data collection, retention, and sharing follow our Privacy Policy.
- You are responsible for account, device, and sheet access control.
11. Changes, Suspension, and Termination
- For legitimate reasons, we may change, suspend, or terminate all or part of the Service with notice (or promptly after in emergencies).
- We are not liable for any damages arising from such actions (except as set out in Section 9.2).
12. Term, Termination, and Survival
- These Terms take effect when you start using the Service.
- If you breach these Terms, we may suspend or terminate your use immediately.
- Sections 7, 8, 9, 12, 13, and 14 survive termination.
13. Governing Law and Jurisdiction
- These Terms are governed by the laws of Japan.
- Any disputes arising out of or in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
14. General
- Force Majeure: We are not liable for failure or delay caused by events beyond our reasonable control (e.g., natural disasters, power or network outages, legal changes, labor disputes, third-party outages).
- Assignment: You may not assign these Terms without our prior written consent. We may transfer our rights and obligations (e.g., by business transfer, corporate split, or merger).
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- Notices: We may notify you via website postings or the email address you provided.
- Changes to Terms: We may amend these Terms. Material changes will be announced on our website. Your continued use constitutes acceptance.
- Language: The authoritative version of these Terms is in Japanese. In case of discrepancies, the Japanese version prevails.
15. Environment, Backups, and Fair Use
- You are responsible for providing and maintaining the environment required to use the Service (device, network, browser, Google account, etc.).
- You are responsible for backing up your sheet data. We are not responsible for data loss (subject to Section 9).
- Excessive requests, parallel executions, and scraping may be restricted as fair-use violations.
16. Audit and Anti-Abuse
- We may audit license compliance within the scope of email addresses and Event Logs.
- On confirmed abuse, we may immediately suspend/terminate access, seek damages, and apply technical blocks.
17. Exclusion of Anti-Social Forces
- You represent and warrant that you are not affiliated with organized crime groups or similar anti-social forces and do not provide funds or benefits to them.
- Upon violation, we may terminate without notice and bear no liability.
18. Export Controls, Sanctions, and Anti-Corruption
- You will comply with applicable export control and sanctions laws (e.g., Japan, US, EU) and will not use the Service in prohibited jurisdictions, for prohibited purposes, or by prohibited parties.
- You will not engage in bribery or other corrupt practices.
19. Google Workspace Marketplace (If Applicable)
- If obtained via the Marketplace, the Marketplace’s terms/policies may prevail where specified.
- Billing terms defined by the Marketplace, if any, shall apply.
20. Intended Users and Consumer Laws
- The Service is primarily intended for business users (B2B). Even where used by individuals, it is provided on a business-use basis.
- Where mandatory consumer laws apply, conflicting provisions in these Terms shall be interpreted and applied within the limits of such laws.
